Please read these Terms of Service (the “Terms”) and the Privacy Policy at https://innuv.io/privacy (the “Privacy Policy”) carefully because they govern your use of Echovox, Inc. DBA Innuvio (“Innuvio”, “we” or “our”) website located at https://innuv.io (the “Site”). To make these Terms easier to read, the Site and any services offered via our Site are collectively called the “Services.”

1. Agreement to Terms

By using our Services, you agree to be bound by these Terms. If you don’t agree, please do not use the Services. If you access or use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms; in that case, “you” and “your” refer to that entity.

5. General Prohibitions and Innuvio’s Enforcement Rights

• Use, display, mirror or frame the Services, Innuvio’s name, trademarks, logos, or proprietary information without express written consent.

• Access or tamper with non‑public areas of the Services or Innuvio’s systems.

• Probe, scan, or test vulnerabilities of any Innuvio system or breach any security measures.

• Bypass, remove, deactivate, impair, or circumvent any technological protection measures.

• Access or download content via any engine, software, tool, agent, or mechanism other than through Innuvio’s provided interfaces.

• Send unsolicited or unauthorized advertising, spam, chain letters, or other solicitations.

• Use meta tags or hidden text to misuse Innuvio’s trademarks without express consent.

• Use the Services for any commercial purpose or on behalf of any third party not permitted by these Terms.

• Forge any TCP/IP packet header or part of any header information in email or newsgroup postings.

• Attempt to decipher, decompile, disassemble, or reverse‑engineer any software used to provide the Services.

• Interfere with or attempt to interfere with another user’s access, including by sending viruses, flooding, spamming, or mail‑bombing the Services.

• Collect or store personally identifiable information from other users without their consent.

• Impersonate or misrepresent your affiliation with any person or entity.

• Violate any applicable law or regulation.

• Encourage or enable any individual to do any of the foregoing.

Innuvio may monitor use of the Services to ensure compliance, investigate violations, and cooperate with law enforcement.

6. Links to Third‑Party Websites or Resources

The Services may provide links to third‑party websites or resources for your convenience. Innuvio is not responsible for their content, products, or services. You assume all risk arising from your use of any third‑party resources.

7. Termination

We may suspend or terminate your access to the Services at any time without notice. Sections 4, 5, 7, and 8–12 will survive any termination.

8. Warranty Disclaimers

THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON‑INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT CONTENT IS ACCURATE OR RELIABLE.

9. Indemnity

You will indemnify and hold harmless Innuvio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of (a) your access to or use of the Services or (b) your violation of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INNUVIO OR ITS SERVICE PROVIDERS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, REVENUES, DATA, GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR THE COST OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INNUVIO’S TOTAL LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID OR PAYABLE TO INNUVIO FOR THE SERVICES, OR $100 IF YOU HAVE NO PAYMENT OBLIGATIONS TO US.

11. Governing Law and Forum Choice

These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles. Any dispute will be brought exclusively in the federal or state courts located in Dover, Delaware, and you consent to personal jurisdiction and venue there.

12. General Terms

Reservation of Rights. Innuvio and its licensors own all rights in the Services, including intellectual property. You agree not to remove or obscure any proprietary notices.

Entire Agreement. These Terms constitute the entire agreement between you and Innuvio regarding the Services and supersede all prior agreements. If any provision is held invalid, the remainder will remain in effect. You may not assign these Terms without Innuvio’s consent; Innuvio may freely assign.

Notices. We may provide notices by email or by posting on the Services. Email notices are deemed received when transmitted.

Waiver. Failure to enforce any right is not a waiver. A waiver is effective only if in writing and signed by an authorized Innuvio representative.
